Terms and Conditions
1. Agreement.
Your order is an offer to purchase the products you specified
("Products") according to the terms and conditions below.
These terms will become a contract ("Agreement") when your
order is accepted by Williams USA Inc ("Williams USA")
either by sending to you a confirmation that specifically
references your order or by shipping the Products to you.
You represent you have the legal authority to enter into
this Agreement on behalf of yourself or any party you represent.
2. Returns.
No products shipped hereunder may be returned without
Williams USA Inc's prior approval. In order to return a product,
buyer must call Williams USA Inc for a Return Merchandise
Authorization (RMA) number before returning any merchandise
to us. All customer returns accepted by Williams USA Inc via
an RMA will be issued a Credit, no refunds will be given. NO
returns will be accepted without an RMA number. Please
Call 707-588-0100. All returns must be made within thirty
(30) days of the invoice date and include proof of purchase.
We reserve the right to withhold a Credit if we deem the
product as damaged. All items sold MUST be returned
in the same brand new condition, factory sealed and
unused, open boxes can only be exchanged. All returned
items for Credit may be subject to a minimum 20% restocking
fee (no restocking fee on defective products or exchanges).
Return Shipping, Handling, Insurance and other fees are
Non-Refundable. No returns will be accepted without prior
authorization, and the customer assumes responsibility for
the package until it arrives at our location. All returns, for
any reason, must be double-boxed with all manufacturer's
packaging and blank warranty cards, instruction booklets
and all other supplied accessories (any item returned with
missing accessories will be returned to the Customer and
no credit will be issued).
3. Shipping.
Shipping charges are an additional cost. P.O. Box and APO
addresses are not accepted. Williams USA Inc is not
responsible for returned packages if lost by shipper.
4. Risk of Loss.
Risk of loss will transfer to you when Williams USA Inc
delivers your order to the delivery service.
5. Payment Terms.
Williams USA Inc accepts the credit cards mentioned on
the product-ordering screens, including PayPal. Your credit
card will not be charged until the Products are shipped.
6. Taxes.
All applicable taxes will be applied to your order.
7. Governing Law.
This agreement shall be governed by the laws of the
State of California, without regard for its conflict of
law provisions.
8. Warranty.
All Products carry the stated Warranty of that
Manufacturer. See the Manufacturer's Warranty
information enclosed with each product. This warranty
gives you specific legal rights, and you may have other
rights which vary from state to state. Please keep
ALL packing material and documentation in the event
that your equipment has to be serviced, repaired or
returned to the Manufacturer.
9. Products.
Williams USA Inc may revise or discontinue Products
at any time. Williams USA Inc will ship Products that
have the functionality and performance of the Products
ordered, but differences between what is described and
what is shipped are possible.
10. Limitation of Liability.
WILLIAMS USA INC'S TOTAL LIABILITY, WHETHER FOR
BREACH OF CONTRACT, WARRANTY, LATE DELIVERY OR
NON-DELIVERY, NEGLIGENCE, STRICT LIABILITY IN TORT
OR OTHERWISE, IS LIMITED TO THE PRICE OF THE
PARTICULAR PRODUCT(S) SOLD WITH RESPECT TO
WHICH LOSSES OR DAMAGES ARE CLAIMED. WILLIAMS
USA INC WILL NOT BE LIABLE FOR ANY INCIDENTAL,
SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, TO
THE FULL EXTENT SUCH MAY BE DISCLAIMED BY LAW.
SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION
OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE
LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU.
11. Compliance with the Law.
Resale Sales and U.S. Government Sales Not Intended.
You agree to comply with all applicable laws and regulations
of the various states that relate to the Products or this
Agreement. Williams USA Inc has separate terms and
conditions governing the sale of Products to the U.S.
Government and registered Resellers.
12. Amendment.
This Agreement may not be altered, supplemented,
or amended by the use of any other document(s). Any
such attempt will be null and void unless otherwise
agreed to in a written agreement signed by both you
and Williams USA Inc.
13. Severability.
If any provision of this Agreement is held to be invalid
by any law, rule, order or regulation of any government
or by the final determination of any state or federal
court.
14. Defective Product.
In case of a defective product, Williams USA Inc
will not be held liable for any labor costs incurred,
be it for installation, un-installation, or repair.
15. Pricing.
Williams USA Inc reserves the right to disallow an
order based on a price mistake.
